If the final product is anything like the testing-versions, then no. There will only be areas where 64-bit enhancement will be changed. Then again, this is Microsoft we are talking about.

I don't see them putting a lot of R&D into making XP 64-bit, rather, focusing on making Longhorn 64-bit only. THAT OS will be a complete rewrite of Windows as we know it.

It's the same OS just with 64-bit support from all I could tell on the last beta.

If anyone is trying to download and it fails with an HTTP 500 -- Keep trying. I ended up getting about four diff errors but after 10 minutes of playing the refresh and try again game I got my order in (gotta 'order' the email for the download link).

I'm rather excited..I personally couldn't explain the diffs between 64 and 32 bit really, but look at it like this: Win 3.xx = 16 bit. 95/98/me = 32/16bit (right??). 2k/xp = 32bit. xp64 = 32/64bit (right??). longhorn = 64bit. Nintendo = 8 bit. SNES = 16bit. Virtual Boy = 32bit. N64 = 64bit. The changes were rather dramatic, and I don't expect we'll see as huge diffs in 64bit xp, but it is evolution of technology..

Edit: You posted before me - doh!
