    YOU CAN ENTER EACH WEEK UNTIL JUNE 2, 2002.

    1. Introduction.
    The Ultimate Digital Experience ("Promotion") begins on April 22, 2002, and ends June 2, 2002 ("Promotion Period"). During the Promotion Period, you can enter to win various prizes.

    2. Eligibility.
    The Promotion is open only to legal residents of the 50 United States (except Florida and New York) or the District of Columbia who have Internet access as of April 22, 2002 and who are at least 18 years of age at time of entry. Employees of Advanced Micro Devices, Inc. ("AMD"), its subsidiaries, affiliates, and agents, and the immediate family (defined as parents, children, siblings and husband or wife) of each such employee, together with those with whom such employees are domiciled are not eligible. By participating in the Promotion, participants warrant that they are eligible to participate under the applicable law governing procurement of prizes and awards. AMD reserves the right to disqualify any participant if AMD determines that participant's participation in the Promotion or receipt of prize would violate state or local law. Participants may be required to submit proof of eligibility.

    3. How to Enter.
    After reviewing these Official Rules, enter each weekly drawing by reviewing the material at the following web site ultimateexperience.amd.com. Correctly answer all five (5) questions that are based on information found on the web site, complete the on-line entry form and you will automatically be entered into a drawing for a weekly prize. The questions will change each week on Monday, for six weeks. You can enter each weekly drawing only once. Weekly eligible entries will not be carried over to the next week's drawing. Participants need to return to the web site each week and complete the entry process in order to be eligible for each weekly drawing. The weekly entry periods are as follows: (1) April 22, 2002-April 28, 2002, (2) April 29, 2002-May 5, 2002, (3) May 6, 2002-May 12, 2002, (4) May 13, 2002-May 19, 2002 and (5) May 20, 2002-May 26, 2002, (6) May 27, 2002-June 2, 2002 (Thus, to be entered in the first drawing on April 29 ,2002, all entrants must have completed all entry requirements by no later than April 28, 2002, 11:59pm CST.) For the Grand Prize, the winner will be chosen from the pool of entries received in all the weekly drawings. Eligible participants may have up to six entries in the Grand Prize drawing. Providing email address with entry constitutes permission for AMD to email you product information and updates.

    LIMIT: Only one Grand Prize per eligible participant. Only one (1) entry per week per person or email address. Multiple entries from the same person or email address may result in disqualification. AMD is not responsible for lost, late, incomplete, invalid, illegible or misdirected entries, which will be disqualified; for failed, partial or garbled computer transmissions; for technical failures of any kind, including, but not limited to electronic malfunctioning of any network, hardware or software; or for any error, human, technical or otherwise. AMD reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Promotion, the entry process or the website at the URL provided above, or to be acting in violation of these Official Rules.

    Odds of winning depend on number of eligible entries received prior to each drawing.

    4. Winning and Notification.
    Weekly prizes: Sponsor will select potential winner(s) in six weekly random drawings conducted each Monday starting on April 29, 2002 and continuing through June 3, 2002. Potential winner(s) will be notified by email approximately one week after each drawing at the email address provided upon entry. If a potential weekly winner cannot be contacted within five (5) calendar days after the first attempt to contact such potential winner, an alternate winner may be selected at random from all eligible entries received. Grand Prize: Grand Prize drawing will be held on or about June 3, 2002. The potential winner will be selected from the pool of all entries received in all weekly drawings combined. (Therefore, a participant who successfully answered five (5) questions in at least one weekly contest will have one entry; a participant who successfully answered five (5) questions in two of the weekly contests will have two entries and so on, up to a maximum of six (6) entries). If a potential Grand Prize winner cannot be contacted within five (5) calendar days after the first attempt to contact such potential Grand Prize winner, or if such winner is determined to be ineligible, an alternate winner may be selected at random from the above described pool of entries. Failure to comply with any term or condition in these Official Rules may result in disqualification. Winners may waive their right to receive a prize, in which case an alternate winner will be selected in the manner described above.

    5. Prizes.
    Grand Prize: Winners choice of one (1) trip for two to New York City to attend the PC Expo held on June 25-June 27, 2002 or $1000.00. The trip, from a major metro airport, includes two coach class airline tickets for people traveling at the same time, double occupancy hotel accommodations for 3 days/4 nights (room and tax only), $800 spending money and two passes to PC Expo. AMD shall be responsible for travel arrangements and shall select the air carrier and hotel accommodations, subject to limitations and restrictions including airline regulations and restrictions. Travel reservations must be booked at least 14 days prior to the actual date of travel and shall be on the dates determined by AMD. If the Grand Prize winner is within 2 hours driving distance from New York City, the winner will receive the following prize: Double occupancy hotel accommodations for 3 days/4 nights (room and tax only) in New York City, $800 spending money and two passes to PC Expo. Airline and hotel reservations are subject to availability, blackout periods, deadlines and other industry restrictions. Travel arrangements are non-transferable and non-refundable. Once airline and hotel reservations are confirmed, any subsequent changes must be made by the winner directly with the airlines and/or hotel. The winner will be responsible for any fees imposed by the airlines or hotel for such changes. Meals are the responsibility of the winner. Frequent flyer miles may not be available for travel. The winner must notify AMD which Grand Choice prize they are selecting by Friday, June 7, 2002. Approximate retail value ("ARV"): up to $5050.00 (may vary depending on location of airport nearest the winner) or $1,000. TRAVEL ARRANGEMENTS MUST BE BOOKED BY CONTACTING Amanda Bell, AMD TRAVEL MANAGER, AT 1-800-538-8450 EXT. 56204 between 8 a.m. to 5 p.m. CST, Monday through Friday no later than Monday, June 10, 2002.

    Weekly Prizes: Thirty (30) First Prizes (five prizes each week): One (1) MSI K7N420 PRO motherboard featuring NVIDIA nForce 420D Platform Processors and an AMD Athlonâ„¢ XP 2100+ processor. ARV: $575.00 Ninety (90) Second Prizes (fifteen prizes each week): One (1) NVIDIA nForce 420D motherboard. ARV: $170.00 150 Third Prizes (twenty-five prizes each week): One $50.00 Gift Card.

    Prizes are not transferable, and no cash substitutes or other substitutes for prizes are available, except by AMD, which reserves the right, in its sole discretion, to substitute different prizes of comparable value. Applicable local, state, and federal taxes and any customs charges or tariffs on prizes are the sole responsibility of and must be paid by the winners. Potential winners may be required to sign and return an affidavit of eligibility and release of liability, as well as a publicity release, except where prohibited by law. Failure to return a signed affidavit and release within 14 days of mailing by AMD may result in forfeiture of the prize, except where prohibited by law. Proof of sending will not be deemed to be proof of receipt by AMD.

    6. General Conditions.
    Except where prohibited by law, participation in the Promotion constitutes the winner's consent to AMD's use of the winner's name, city, state, province or county, and country, likeness, photograph, statements made by the winner about the Promotion, AMD, and/or prize information for promotional purposes in any media without further payment or consideration. By receipt of any prize, the winner agrees to release and hold harmless AMD, its related companies, and its respective officers, directors, employees and agents from and against any claim or cause of action arising out of participation in the Promotion or receipt, possession, use or misuse of the prize. All entries become the property of AMD, and none will be returned. AMD is not responsible for any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from downloading any material from AMD's web site, regardless of whether the material was prepared by AMD or a third party, and regardless of whether the material is connected to the AMD's web site by a hypertext link. AMD reserves the right to cancel or modify the Promotion if fraud, technical failures, or any other factor beyond AMD's reasonable control impairs the integrity of the Promotion as determined by AMD in its sole discretion. In such event, AMD reserves the right to award the prizes at random from the eligible entries received up to the time of the impairment. All federal, state, provincial and local laws and regulations apply.

    7. Miscellaneous.
    Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any prizes awarded, other than the administration of the Promotion or the determination of winners shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Courts for the Northern District of California (San Jose Division) or the appropriate California State Court located in Santa Clara County, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of you and AMD in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of California, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

    9. Winners List.
    A copy of these Official Rules and the winners list, once available, will be posted on the Internet at ultimateexperience.amd.com until July 20, 2002.
